Responsibilities:
• Reporting to the General Counsel with a direct reporting relationship to the Audit Committee of the Company’s Board of Directors; The Director is a strategic business partner to senior management and its operations at all levels
• The Director will also serve on the Company’s Enterprise Risk Management working group, assist with internal audits,
conduct compliance assessments, and be a recognized subject matter expert in export controls, economic sanctions, and anti-bribery compliance
• You will lead the Company’s compliance program, with particular emphasis on global trade rules, anti-bribery procedures and compliance training
• Administering Code of Business Conduct and Ethics, the Company’s ethics and compliance hotline and ensuring that the Company’s compliance policies and procedures are up to date and represent best practices
• Monitor, update and train to the Company’s anti-bribery compliance procedures to ensure that all associates understand the Company’s no-bribery policy and remain compliant with the requirements of U.S., UK and other national laws, as
well as unique FMF requirements
• Coordinate and approve sales representative agreements to ensure compliance to the Company’ policies and procedures
• Coverage of anti-bribery regulations, including the FCPA, the UK Bribery Act, OECD requirements
• Conduct assessments and assist in audits of business units’ activities to ensure compliance in the anti-bribery area
• Coverage of export control matters including ITAR, EAR, trade embargo, anti-boycott, customs and trade laws
various foreign countries
• Provide operational advice and instruction on export and import related matters to the Company’s business units, including hands-on assistance with drafting, reviewing and filing of export licenses, technical assistance agreements, filing of import paperwork, commodity jurisdiction requests, classification requests and other applicable documentation to ensure compliance
• Provide subject matter expertise for compliance investigations, assessments, audits and reviews
• Oversee remediation and corrective action plans resulting from audits, investigations, assessments and reviews, and self-identified issues
• Develop and provide export compliance training to business unit personnel, including trade compliance administrators
• Assist with the drafting, development, and implementation of policies, procedures and internal management systems involving U.S. and foreign trade laws and principles
• Assist, as needed, in export compliance-related due diligence on potential acquisitions and assist with integration and training of acquired companies with respect to the Company’s compliance program.
Requirements:
• Essential Education: Bachelor’s degree
• Compliance Experience: You must bring significant international compliance and experience including trade compliance and export controls, FCPA and OECD requirements
